1. Preamble and Acceptance of Terms

These Terms and Conditions of Service ("Terms") govern the access and use of the website pamasoft.com (the "Site") and services offered by Elleffe sas (VAT 05657500483), with registered office at Via E. Fermi, 75 - 51100 Pistoia, Italy (hereinafter "Pamasoft", "we", "us" or "our").

Access and use of the Site implies full and unconditional acceptance of these Terms. If you do not accept these conditions, please do not use the Site.

2. Definitions

• User: any natural or legal person who accesses and uses the Site

Pamasoft is a company specialized in innovative software solutions, with over 25 years of experience in the IT sector. Our main areas of expertise include:

• Cloud Computing: cloud migration, AWS infrastructures, DevOps, serverless architectures
• Artificial Intelligence: machine learning, generative AI, predictive analytics, NLP
• Blockchain: smart contracts, tokenization, DeFi, Web3
• Cybersecurity: penetration testing, vulnerability assessment, SOC, compliance
• Web Application Development: Spring Boot, React, PostgreSQL, modern architectures
• Integrations and Microservices: RESTful APIs, event-driven architecture, message brokers

Technical specifications, prices and contractual conditions for each Service will be defined in specific contracts or individual quotes.

4. Use of the Site

4.1 General Conditions

The User undertakes to use the Site in compliance with Italian and international law, these Terms and good customs. It is expressly forbidden to:

• Use the Site for illegal, fraudulent or unauthorized purposes
• Violate intellectual property rights of Pamasoft or third parties
• Transmit viruses, malware or harmful code
• Attempt unauthorized access to systems or networks
• Perform scraping, automated crawling or unauthorized data collection activities
• Interfere with the normal operation of the Site
• Impersonate other persons or entities
• Publish offensive, defamatory, discriminatory or illegal content

4.2 Registration and Account

Some Site features may require account registration. The User undertakes to:

• Provide accurate, complete and up-to-date information
• Keep login credentials confidential
• Immediately notify any unauthorized access
• Be responsible for all activities carried out through their account

5. Intellectual Property

5.1 Site Content

All Content on the Site, including texts, images, logos, graphics, videos, source code and design, is the exclusive property of Pamasoft or its respective licensors and is protected by Italian and international copyright and intellectual property laws.

Reproduction, distribution, modification, transmission, reuse, publication or commercial exploitation of Content without prior written consent from Pamasoft is prohibited.

5.2 Trademarks and Logo

The "Pamasoft" trademark and all related logos are registered or pending trademarks of Pamasoft Srl. Unauthorized use of such trademarks is strictly prohibited.

5.3 Limited Use License

Pamasoft grants the User a limited, non-exclusive, non-transferable and revocable license to:

• Access and view Site Content
• Download informational materials for personal and non-commercial use
• Print individual pages for internal use

Any other use requires prior written authorization.

6. Contracts for Service Provision

6.1 Quotes and Commercial Proposals

Quote requests sent through the Site do not constitute a binding contractual proposal. Quotes provided by Pamasoft are valid for 30 days unless otherwise indicated and are subject to written confirmation.

6.2 Contract Conclusion

The contract for Service provision is finalized with:

• The signing of a written contract by both parties, or
• Formal acceptance of a quote via email/PEC, or
• Issuance of a purchase order by the Client and its confirmation by Pamasoft

6.3 Economic Conditions

Service prices are expressed in Euros and are understood to be exclusive of VAT (if applicable), unless otherwise indicated. Payments must be made according to the methods and terms agreed in the specific contract.

6.4 Client Obligations

The Client undertakes to:

• Provide accurate and complete information necessary for Service provision
• Ensure availability of agreed personnel and resources
• Respect payment terms
• Actively collaborate for project success
• Respect any security and compliance policies

7. Warranties and Liability Limitations

7.1 Site Availability

Pamasoft undertakes to ensure Site availability and proper functioning, however it does not guarantee:

• Absence of interruptions, errors or malfunctions
• Immunity from viruses or other harmful components
• Operational continuity without maintenance

Pamasoft reserves the right to temporarily suspend the Site for ordinary or extraordinary maintenance, seeking to minimize inconvenience to Users.

7.2 Warranty Exclusion

The Site and Content are provided "as is" and "as available", without warranties of any kind, express or implied, including (by way of example):

• Merchantability warranties
• Fitness for a particular purpose warranties
• Warranties of accuracy, completeness or reliability of information

7.3 Liability Limitation

To the extent permitted by applicable law, Pamasoft shall not be liable for:

• Direct, indirect, incidental, consequential or punitive damages
• Loss of profits, data, business opportunities or reputation
• Damages arising from viruses, transmission errors or service interruptions
• Content or behavior of third parties
• Improper use of the Site or Services

In any case, Pamasoft's maximum liability will be limited to the amount paid by the Client for the specific Service subject to the claim, in the 12 months prior.

8. Indemnification

The User undertakes to indemnify and hold harmless Pamasoft, its administrators, employees, collaborators and partners from any claim, loss, damage, cost or expense (including legal expenses) arising from:

• Violation of these Terms
• Violation of third party rights
• Improper use of the Site or Services
• Content provided or uploaded by the User

9. Links to Third Party Sites

The Site may contain links to third party websites. Pamasoft does not control or approve such sites and is not responsible for the content, privacy policies or practices of third party sites. Access to external links is at the User's risk.

10. Privacy and Data Protection

The processing of Users' personal data is governed by our Privacy Policy, which forms an integral part of these Terms. Please read this document carefully to understand how we collect, use and protect personal data.

11. Changes to Terms

Pamasoft reserves the right to modify these Terms at any time, publishing the updated version on the Site with indication of the last update date. Changes take effect from the publication date. Continued use of the Site after publication of changes constitutes acceptance of the new Terms.

12. Termination and Cessation

Pamasoft reserves the right to suspend or terminate a User's access to the Site, without notice and at its sole discretion, in case of:

• Violation of these Terms
• Illegal or harmful behavior
• Order from a competent authority
• Cessation of Site activity

Provisions that by their nature survive termination (e.g. intellectual property, liability limitations, indemnification) will remain in effect.

13. Force Majeure

Pamasoft shall not be liable for delays or failures due to causes beyond its reasonable control, including (by way of example):

• Natural events (earthquakes, floods, fires)
• War, terrorism, civil unrest
• Pandemics or health emergencies
• Third party service interruptions (ISP, cloud provider)
• Strikes, government measures
• Cyber attacks, DDoS, hacking

14. Severability

If one or more provisions of these Terms are found to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions will not be affected in any way. Invalid provisions will be replaced with valid provisions that reflect the original intent as much as possible.

15. Waiver

Failure or delay by Pamasoft to enforce a right or provision of these Terms does not constitute a waiver of such right or provision.

16. Entire Agreement

These Terms, together with the Privacy Policy and any specific contracts, constitute the entire agreement between the User and Pamasoft regarding the use of the Site, and supersede all prior agreements, written or oral.

17. Applicable Law and Competent Court

These Terms are governed by Italian law. For any dispute arising from the interpretation, execution or resolution of these Terms, the Court of Milan shall have exclusive jurisdiction, except for mandatory legal provisions protecting consumers.
